How do I comply with the publication requirement if I want to form my business as a LLC in New York?
New York is the most notable among a very small handful of states that require a newly formed limited liability company to publish notice of its formation in local newspapers. Under this “publication requirement,” if you want to form your business as a limited liability company in New York, you must, within 120 days after filing articles of organization with the New York Department of State, cause to be published a notice containing the substance of the articles of organization in two newspapers—one weekly and one daily—of the county in which the office of your company is located, as designated by the county clerk. The notice must contain certain specified information, including the name of your company, the street address of its principal business location, and the county in which the office of the company is located, and must run each week for six successive weeks. Once the notice has run for six weeks, you must obtain from the newspapers affidavits of publication, which you must then attach to a certificate of publication that is filed by the Department of State.
