All corporations must file a Statement of Information within the first 90 days of filing the Articles of Incorporation, after which a Statement of Information is due every year.
The annual filing fee is $25, and the failure to file will result in a $250 penalty and suspension of the corporation. Statements of Information can be filed with the California Secretary of State online
All corporations are required to hold an annual meeting of the shareholders to appoint corporate directors; and the directors hold an annual meeting to appoint corporate officers. The corporation’s bylaws set the date of the annual shareholders meeting.
In addition, corporate actions are authorized in minutes of meetings.
Sadly, scammers preying on new businesses send thousands of mailers that look like invoices from government agencies, requesting fees for corporate minutes or labor law compliance posters. Even though the FTC recently recovered more than $1 million for victims of these scams, the mailers continue. There is no government agency that is involved with or requires corporate minutes to be filed. These notices should be disregarded.
All corporations must designate an “agent for service of process” with the Secretary of State.
The agent is the person appointed to accept legal documents in the event that the corporation is sued. You can act as your own agent in California or appoint a commercial agent for a fee (our fee is $145/year). You might wish to appoint a commercial agent to avoid receiving legal documents at home or at your place of business.
