Do I need a tax clearance certificate to dissolve my company in New York?
LLCs never need tax clearance in NY. Domestic Corps require a consent to dissolve. The consent to dissolve is automatically issued by the New York Dept. of Taxation upon filing the final New York State Tax return. We require the client email us a copy of the consent to dissolve prior to initiating the service so that we do not have to wait for it to file the dissolution documents. For New York surrenders for corporations, the same rule applies – The final New York State tax return must be filed and then the New York Dept. of Taxation will issue a consent to surrender and we need the consent prior to initiating the service. However, if we are dissolving in the home jurisdiction and also surrendering in NY (ex. DE corp qualified in NY), then no consent to surrender is required. You must bill for a certificate of status from the home jurisdiction indicating the company is dissolved when you initiate the dissolution/surrender because we have to file the certificate of status with the New York Department of State to surrender.
