Can I be held liable for the actions of other officers or directors of the corporation?

In general, no. Officers and directors do not incur personal liability for the wrongs of the corporation merely by reason of their official position. On the other hand, officers and directors can be held liable if they participate in the wrong or authorize or direct that it be done. In other words, you will not be liable for wrongful actions in which you do not participate personally, of which you have no knowledge, or to which you have not consented, but you may be personally liable if you authorize, direct, or in some other way actively participate in the wrongful conduct. In addition, there are limited circumstances in which you may be held liable for being negligent in the appointment of the wrongdoer or the supervision of the corporation’s business.
