How often do shareholders have to meet?
Shareholders must meet at least once a year to elect directors at an annual meeting of shareholders. See Cal. Corp. Code § 600. If the annual meeting is not held as required, a shareholder can request a court to order that the annual meeting be held. In addition to the annual meeting, special meetings of shareholders may be called by the board of directors, the chairperson of the board, the president, shareholders holding at least 10% of the corporation’s voting shares, or by any other person as may be provided in the corporation’s bylaws.
