How many directors does my corporation have to have?
In general, the minimum number of directors a California corporation must have is three. See Cal. Corp. Code § 212. However, if you form a corporation with yourself as the only shareholder, then the corporation can have just one or two directors. And if you form a corporation with just you and your business partner as the only two shareholders, then the corporation can have just two directors. In either case, the corporation can have more directors than the minimum if you like. Either the exact number, or the minimum and maximum number, of directors must be stated either in your company’s articles of incorporation or in the bylaws.
